MEDIEN SDN. BHD. LMS ACCESS UNDERTAKING

    The Candidate is required to sign this Agreement before accessing the Company’s Learning Management System (“LMS”), training materials, pre-employment assessment, product information, internal workflow, quizzes, SOPs, templates, pricing, sales strategy, customer handling scripts, and any other company-related information.

    1. Purpose of LMS Access

    The Company may provide the Candidate with limited LMS access for the purpose of:

    Pre-employment assessment;

    Candidate screening;

    Product and role understanding;

    Sales Support Associate suitability evaluation;

    Practical task submission;

    Interview preparation and evaluation;

    Determining whether the Candidate is suitable for employment.

    The Candidate understands that LMS access is granted for assessment purposes only and does not create an employment relationship unless a formal employment offer is issued and accepted.

    2. Confidential Information

    For the purpose of this Agreement, “Confidential Information” includes, but is not limited to:

    LMS training modules;

    Assessment questions and answers;

    Product training materials;

    Sales scripts and WhatsApp reply templates;

    Customer handling workflow;

    Dealer, hospital, clinic, doctor, and patient support workflow;

    Medien MaxTrack information;

    CPAP, BiPAP, ventilator, oxygen concentrator, O₂ Ring, Home Sleep Test, CPAP Trial, PAPNAP, and related product materials;

    SOPs, checklists, forms, trackers, reporting formats, and internal processes;

    Pricing, quotation structure, package strategy, discount structure, incentive structure, and commission-related information;

    Business development plans, market strategy, sales target, and customer pipeline information;

    Internal company rules, HR procedures, compliance materials, and operational workflow;

    Any information relating to customers, patients, doctors, hospitals, clinics, dealers, suppliers, employees, candidates, or business partners;

    Any document, screenshot, image, video, audio, file, link, download, or digital material made available through the LMS or company communication channel.

    Confidential Information may be provided in written, verbal, electronic, digital, visual, or any other form.

    3. Candidate Obligations

    The Candidate agrees to:

    Keep all Confidential Information strictly confidential;

    Use the LMS access only for the Company’s pre-employment assessment purpose;

    Not copy, download, screenshot, photograph, record, reproduce, forward, upload, print, publish, share, disclose, or distribute any LMS content without written approval from the Company;

    Not share LMS login details, password, access link, quiz questions, answers, documents, templates, or training materials with any third party;

    Not use the Company’s confidential information for personal business, competitor business, freelance work, outside employment, or any non-approved purpose;

    Not contact the Company’s customers, dealers, doctors, clinics, hospitals, suppliers, employees, or business partners unless expressly authorized by the Company;

    Not make any false claim that the Candidate is an employee, representative, agent, distributor, or authorized person of the Company before official appointment;

    Immediately notify the Company if there is any suspected unauthorized access, accidental disclosure, data leak, loss of device, or misuse of LMS access;

    Return, delete, or destroy any Company information upon request;

    Continue to protect the Company’s Confidential Information even after the assessment is completed or access is terminated.

    4. Prohibited Actions

    The Candidate must not:

    Share LMS content with another candidate, friend, family member, current employer, competitor, vendor, or external party;

    Upload LMS content to Google Drive, WhatsApp group, Telegram, Facebook, LinkedIn, TikTok platform without written approval;

    Use LMS content to train another company’s staff;

    Use company templates, sales strategy, pricing, workflow, or product materials for a competitor or personal business;

    Reverse-engineer, modify, duplicate, resell, or repackage the Company’s materials;

    Attempt to access restricted LMS modules, admin areas, candidate data, staff data, customer data, or internal systems without permission;

    Misrepresent assessment answers as original work if copied from another person or unauthorized source;

    Use screenshots, recordings, or copied content as evidence against the Company without proper lawful basis.

    5. Personal Data Notice and Consent

    The Candidate understands and agrees that the Company may collect, use, store, process, and retain the Candidate’s personal data for purposes including:

    Candidate identification;

    LMS account creation;

    Assessment participation;

    Quiz and practical task evaluation;

    Interview and employment suitability review;

    HR record keeping;

    Compliance, audit, and internal investigation where required;

    Communication relating to recruitment, employment offer, or rejection.

    Personal data may include name, contact number, email address, identification number, assessment result, uploaded documents, digital signature, access record, timestamp, device record, and communication records.

    The Candidate confirms that the information provided is accurate and consents to the Company processing such personal data for the above purposes.

    6. Intellectual Property

    All LMS materials, product training content, assessment questions, answer guides, SOPs, workflows, templates, documents, visuals, videos, names, logos, brands, product descriptions, and business methods remain the property of the Company.

    The Candidate receives only limited access for assessment purposes. No ownership, license, commercial right, or intellectual property right is transferred to the Candidate.

    7. No Employment Guarantee

    The Candidate understands and agrees that:

    Completion of the LMS does not guarantee employment;

    Passing the assessment does not automatically guarantee employment;

    The Company has full discretion to decide whether to proceed with interview, offer, rejection, or further assessment;

    Employment will only begin after a formal written offer is issued by the Company and

    accepted by the Candidate.

    8. Breach of Agreement

    If the Candidate breaches this Agreement, the Company may take action including but not limited to:

    Immediate termination of LMS access;

    Disqualification from the recruitment process;

    Withdrawal of employment offer, if any;

    Reporting the incident internally or to relevant parties where appropriate;

    Requesting deletion, return, or removal of confidential materials;

    Seeking compensation, damages, injunction, legal action, or other remedies available under law.

    The Candidate understands that unauthorized disclosure or misuse of Confidential

    Information may cause serious loss, damage, and harm to the Company’s business, reputation, competitive position, customers, and partners.

    9. Duration of Confidentiality

    The Candidate’s confidentiality obligation shall continue during and after LMS access, assessment, interview, rejection, employment offer, or termination of recruitment process.

    For trade secrets, business strategy, pricing, customer information, product workflow, and sensitive company information, the confidentiality obligation shall continue for as long as such information remains confidential and not publicly available through lawful means.

    10. Return and Deletion of Materials

    Upon request by the Company, or upon completion of the assessment process, the Candidate shall immediately:

    Stop using LMS access;

    Return any Company materials in the Candidate’s possession;

    Delete downloaded or saved Company files;

    Delete screenshots, recordings, photographs, notes, copied templates, or duplicated content;

    Confirm deletion or return if requested by the Company.

    11. Electronic Signature and Acceptance

    The Candidate agrees that this Agreement may be signed electronically. By clicking “I Agree,” submitting an electronic signature, ticking an acceptance box, replying confirmation by email or WhatsApp, or accessing the LMS after receiving this Agreement, the Candidate confirms acceptance of the terms of this Agreement.

    The Candidate agrees that electronic acceptance shall have the same effect as physical signature, subject to applicable law.

    12. Governing Law

    This Agreement shall be governed by the laws of Malaysia.

    Any dispute arising from this Agreement shall first be resolved through discussion with the Company. If unresolved, the Company reserves the right to pursue appropriate legal remedies in Malaysia.

    Candidate Declaration

    I confirm that I have read, understood, and agreed to this Non-Disclosure Agreement and LMS Access Undertaking.

    I understand that the Company’s LMS materials are confidential and must not be copied, shared, disclosed, or misused.

    I also understand that LMS access is provided only for pre-employment assessment purposes and does not guarantee employment.
